MMC CORPORATION TO PRIVATISE NCB HOLDINGS

KONTENA NASIONAL BERHAD EXPANDS ITS FLEET WITH THE ADDITION OF 30 NEW PRIME MOVERS
Kontena Nasional Berhad received 30 units of Volvo’s FM440 6×2 T RAS prime movers from Volvo Trucks Malaysia in a fleet expansion and modernisation move.
KUALA LUMPUR, 16 December 2015 – MMC Corporation Berhad (MMC), a utilities and infrastructure group is set to take its subsidiary, NCB Holdings Bhd (NCB) private.
MMC Port Holdings Sdn Bhd (MMC Port), a wholly owned subsidiary of MMC has extended an unconditional take-over offer (Offer) through RHB Investment Bank Berhad to acquire all the remaining ordinary shares in NCB for a cash offer price of RM4.40 per share from 16 December 2015 to 6 January 2016.
The Offer Document, which sets out the details, terms and conditions of the Offer together with the Form of Acceptance and Transfer have been despatched today to the shareholders of NCB.
MMC, via MMC Port, previously owns approximately 30.13% stake in NCB and has acquired another approximately 53.42% stake recently from Permodalan Nasional Berhad and AmanahRaya Trustees Berhad (as trustee for Amanah Saham Bumiputera, Amanah Saham Wawasan 2020 and Amanah Saham Didik) which makes MMC the largest shareholder in NCB with an equity interest of approximately 83.55%.
NCB, wholly owns Northport (Malaysia) Bhd, a major gateway for import and export of containers located in Port Klang. It also operates a haulage cum logistics business via its subsidiary Kontena Nasional Berhad. MMC, on the other hand, owns a 100% stake in Johor Port and 70% stake in the award-winning Port of Tanjung Pelepas (PTP). Both ports are strategically located in Johor within the Iskandar Development Region. NCB’s presence in MMC’s group of companies is set to further strengthen MMC’s ports and logistics business division.
